License Agreement

This License Agreement ("Agreement") is a legal agreement between you and Trio Group LLC ("we", "us", "our") for the use of SEO Control Center, including its program code, updates, documentation and related materials (the "Software"). It applies together with our Terms of Service. By installing, activating or using the Software, you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Definitions

  • "Licence Key": the key we issue to you after purchase, which activates an Installation.
  • "Installation": one copy of the Software set up with its own database and configuration, reachable under one domain.
  • "Edition": the edition you purchased (Starter, Pro or Agency) with the limits stated in section 3.
  • "Licence Term": the paid period of your licence, including renewals.
  • "Authorised Users": your employees, contractors and clients whom you allow to use your Installation.
  • "Your Data": all data stored in or processed by your Installation, such as projects, search data, keywords, credentials and user accounts.

2. Grant of licence

Subject to this Agreement and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence, for the Licence Term, to install and operate the Software in accordance with the documentation, for your own internal business purposes and for providing services to your clients. The Software is licensed, not sold. We reserve all rights not expressly granted.

3. Editions and limits

All Editions include every feature of the Software. They differ in the number of projects and workspaces that can be created in an Installation:

  • Starter: 3 projects, 1 workspace.
  • Pro: 15 projects, 3 workspaces.
  • Agency: Unlimited projects, unlimited workspaces.

The number of Authorised Users is not limited. You may upgrade to a higher Edition at any time; the limits of the new Edition apply from the upgrade.

4. Installations and domains

  • Each licence permits one production Installation, bound to one domain (with or without www). Additional production Installations require additional licences.
  • You may operate one additional Installation for testing or staging in the environment "staging", which does not need a Licence Key. It must not be used for production work, for clients, or to circumvent the limits of your Edition.
  • You may move your licence to another server or domain. Remove the licence from the previous Installation first (System → License → Remove the licence) or ask us to release it.

5. Licence Key and licence check

  • You must keep your Licence Key confidential. It may only be used for your own Installation.
  • When you activate a licence, and then about once a week, your Installation contacts our license server at license.seocc.net to verify the licence. It transmits the Licence Key, a random installation ID, the domain of the Installation, and the versions of the Software and PHP. No other data, and in particular none of Your Data, is transmitted. The details are described in our Privacy Policy.
  • The license server returns a digitally signed confirmation. If the license server cannot be reached, the Installation continues to work normally for at least 14 days.
  • You may not remove, disable, modify or circumvent the licence check or the signature verification, or emulate the license server.

6. Licence Term, expiry and read-only mode

  • The licence is valid for the Licence Term and renews as described in the Terms of Service.
  • If the licence ends, is not renewed or is revoked, the Installation continues to work in full for a grace period of 14 days after the end of the Licence Term.
  • After the grace period, the Installation switches to read-only mode: you and your Authorised Users can still sign in, view, export and back up Your Data without time limit, but licensed functions pause. These include data imports, rank checks, keyword metrics, analyses, scheduled reports, IndexNow submissions, AI access and the installation of updates. They resume as soon as a valid licence is activated again.
  • We never delete Your Data, and the Software contains no mechanism that destroys data or disables your Installation remotely.

7. Updates and downloads

  • During the Licence Term, you may download and install all updates and new versions from our download page. Updates are signed digitally; your Installation only accepts packages signed by us.
  • After the Licence Term ends, you may continue to download the versions that were released while your licence was valid.
  • Updates may add, change or remove functions. We will not remove a core function of your Edition during a paid Licence Term without offering a reasonable alternative.

8. Restrictions

Except as expressly permitted by this Agreement or by mandatory law, you may not:

  • sell, resell, rent, lease, lend, sublicense, distribute or otherwise make the Software or a Licence Key available to third parties;
  • offer the Software itself to third parties as a hosted or "software-as-a-service" product, for example by giving other organisations their own Installations or workspaces as a paid service;
  • copy the Software, except for installation, backups and the permitted testing Installation;
  • modify, adapt, translate or create derivative works of the Software, or decompile, disassemble or reverse engineer it, except to the extent that such activity is expressly permitted by applicable law despite this restriction;
  • remove or alter copyright notices, licence information or the notices of third-party components contained in the Software;
  • use the Software to process data you are not entitled to process, to access third-party services in violation of their terms, or for any unlawful purpose.

Giving your clients access to their projects in your Installation as part of your services (for example as an agency) is permitted and is not a resale.

9. White label

You may use the branding settings of the Software (System → Branding) to show your own name, logo, colour and report footer in the user interface and in reports, and present your Installation to your clients under your own brand. This does not transfer any rights in the Software, and it does not permit you to remove the copyright and licence notices contained in the program code, to claim authorship of the Software, or to sell licences of it.

10. Third-party services

  • The Software can connect to third-party services, such as Google Search Console, Bing Webmaster Tools, IndexNow, DataForSEO, e-mail servers and AI assistants via the Model Context Protocol. You connect them with your own accounts and credentials, and your use of them is subject to the terms, privacy policies and prices of the respective providers.
  • Paid requests to DataForSEO are charged by DataForSEO directly to you. The budgets in the Software help you control these costs, but you remain responsible for them and for monitoring your provider accounts.
  • We do not control third-party services and are not responsible for their availability, accuracy, changes or costs.

11. Your Data and data protection

  • The Software runs on infrastructure that you choose and control. Your Data is stored on your server; we have no access to it and do not receive it, apart from the licence check described in section 5.
  • You are solely responsible for Your Data, for its lawful collection and processing, and for compliance with data protection laws in relation to your Authorised Users and your clients. As we do not process Your Data on your behalf, no data processing agreement is required.
  • If you send us a support bundle or other information for support, it is used only to help you and is handled according to our Privacy Policy. Support bundles generated by the Software do not contain passwords, keys or SEO data.

12. Your responsibilities

You are responsible for providing and operating hosting that meets the system requirements; for securing your server and accounts; for keeping the Software up to date; for regular backups of your database and of the encryption key ring; and for the actions of your Authorised Users. We recommend enabling two-factor authentication for all administrators.

13. Open-source components

The Software contains third-party open-source components. They are licensed to you under their own licences, which are listed in the file resources/THIRD-PARTY-NOTICES.md included with the Software; the licence texts accompany each component. Nothing in this Agreement restricts your rights under those licences.

14. Intellectual property

The Software is protected by copyright and other intellectual property laws. All rights, title and interest in the Software, including all copies and updates, remain with us and our licensors. "SEO Control Center" is a trademark of Trio Group LLC.

15. Warranty and liability

We warrant that, during the Licence Term, the Software will substantially perform as described in the documentation. If it does not, we will at our option correct the defect, provide a workaround, or, if we cannot do so within a reasonable time, refund the fees paid for the remaining Licence Term. Beyond this, the warranty disclaimers and limitations of liability in sections 12 and 13 of the Terms of Service apply. Mandatory statutory rights of Consumers remain unaffected.

16. Termination

This Agreement ends when your licence ends, subject to the read-only use described in section 6. We may terminate it with immediate effect if you materially breach it, in particular sections 5 or 8, and fail to remedy the breach within a reasonable period after our notice, where a remedy is possible. After a termination for breach, you must stop using the Software, except for exporting Your Data, and delete all copies.

17. Export control and sanctions

You must comply with all applicable export control and sanctions laws. You may not use or make the Software available in countries or regions, or to persons, subject to comprehensive sanctions of the United States, the European Union or the United Kingdom.

18. General

This Agreement is governed by the law stated in section 17 of the Terms of Service, which also contains the provisions on disputes, changes and other general matters. If this Agreement and the Terms of Service conflict regarding the use of the Software, this Agreement prevails. Questions about this Agreement: sales@seocc.net.
